Branded Exclusivity Partner Agreement

1. Program Overview

The Branded Exclusivity Program ("Program") allows StormSnipe Pro subscribers to purchase additional branding placement on StormSnipe's public-facing marketing properties for an additional fee of $299/month, billed in addition to their active Pro subscription rate.

This Branded Exclusivity Partner Agreement ("Agreement") governs participation in the Program and supplements the Terms of Service.

2. Branding Placements

Active Branded Exclusivity Partners receive the following placements during the billing period:

(a) X (Twitter) Posts. When StormSnipe posts storm alert content for qualifying events in the partner's assigned territory, the partner's company logo is included in the post image with a caption identifying them as an "Official StormSnipe Partner."

(b) Storm Event Page Co-Branding. The partner's company card (logo, company name, phone number, and website) appears in a "Trusted Local Contractor" sidebar on StormSnipe storm event pages (stormsnipe.com/events/[slug]) for events in their territory.

(c) Partners Page Listing. The partner receives a listing on the StormSnipe partners page, including a dofollow backlink to their website.

3. Territory Assignment

Each Branded Exclusivity Partner is assigned one or more metropolitan territories. Territory assignment is based on the metros selected in the partner's Pro subscription settings.

StormSnipe guarantees that no two Branded Exclusivity Partners will be assigned the same territory in the same trade type simultaneously. If a territory is already claimed by an existing partner of the same trade type, StormSnipe will notify prospective new partners before accepting payment.

Territory assignments are non-transferable. If a partner cancels and rejoins, their previous territory may have been assigned to another partner.

4. Logo and Brand Assets

Partners must provide their company logo in SVG or high-resolution PNG format (minimum 1000px on the longest dimension). StormSnipe will store and use the logo for the placements described in Section 2.

Partners grant Harper AI, Inc. a limited, non-exclusive license to use their company logo, name, and website URL solely for the purposes of the Program placements described herein.

StormSnipe retains full creative control over the format, layout, and presentation of all branded placements. StormSnipe will not alter the partner's logo beyond necessary resizing and color adjustments for placement compatibility.

5. Placement Frequency

Branding placements occur when qualifying storm events are detected in the partner's territory. StormSnipe does not guarantee a minimum number of placements per billing period, as storm occurrence is weather-dependent.

If no qualifying events occur in a partner's territory during a billing period, the partner may request a billing credit or territory reassignment by contacting press@stormsnipe.com within 7 days of the billing period end.

6. Removal of Branding

Partners may request removal of their branding from all StormSnipe properties within 24 hours by contacting press@stormsnipe.com. Removal from previously published posts or cached content may not be immediate.

If StormSnipe determines, in its sole discretion, that a partner's business conduct, public reputation, or activities are inconsistent with StormSnipe's brand standards, StormSnipe may remove partner branding immediately without refund.

7. Billing and Cancellation

The $299/month Program fee is billed automatically alongside the Pro subscription. Cancellation of the Branded Exclusivity add-on does not cancel the underlying Pro subscription.

Cancellation of the add-on takes effect at the end of the current billing period. No partial-month refunds are issued.

8. No Endorsement

StormSnipe's inclusion of a partner's branding in storm event content does not constitute an endorsement of the partner's business practices, quality of work, or financial condition. StormSnipe is not liable for homeowner interactions resulting from branded placements.

9. Modification

StormSnipe may modify the Program terms, placement types, or pricing with 30 days' notice to active Program participants. Continued participation after the notice period constitutes acceptance of the modified terms.
